1. Scope and Acceptance
- By requesting, accepting, or paying for our services, you agree to these terms.
- Any quote, proposal, invoice, or approved variation forms part of the service contract.
- If there is a conflict between these terms and a signed project agreement, the signed agreement prevails.
2. Quotes, Pricing, and Variations
- Quotes are valid for the period shown on the quote, or 30 days if no period is shown.
- Prices may change where scope, access, materials, third-party requirements, or site conditions change.
- Variations will be documented and charged in addition to the original contract price.
- Unless stated otherwise, GST is additional where applicable.
3. Deposits and Payment
- We may require a deposit before procurement, scheduling, or works begin.
- Progress payments may apply for staged projects.
- Invoices are payable by the due date shown on the invoice.
- Late payments may incur administration, recovery, and reasonable legal costs.
4. Site Access and Client Responsibilities
- You must provide safe and timely access to the worksite and relevant service information.
- You must advise us of known underground services, hazards, and site restrictions before work starts.
- You must ensure any required owner, landlord, body corporate, network, or council approvals are in place unless we have agreed in writing to manage these.
- You are responsible for maintaining clear access and suitable conditions for installation.
5. Delivery, Timeframes, and Delays
- Delivery and completion dates are estimates unless expressly confirmed in writing.
- Delays caused by weather, approvals, supply chain events, site readiness, safety issues, or third parties may extend project timing.
- We are not liable for delay-related loss where delay is outside our reasonable control.
6. Risk, Title, and Installed Equipment
- Risk in goods passes on delivery to site.
- Title in goods remains with Solar Electrix until all amounts due are paid in full.
- You must insure delivered or installed goods against theft, loss, and damage from delivery onward.
7. Warranties and Defects
- Manufacturer warranties apply to products supplied.
- Workmanship warranty applies as stated in your quote or contract documentation.
- Warranty claims require prompt notice and reasonable access for inspection and remedy.
- Warranties may be void where systems are modified, misused, poorly maintained, or altered by unapproved third parties.
8. Performance and Technical Limitations
- System performance depends on site-specific factors including weather, shading, network voltage, load profile, and equipment operation.
- Where electricity network constraints affect generation or export, remedies may require action by the relevant network operator.
- Estimated savings and payback are indicative only unless expressly guaranteed in writing.
9. Liability
- To the extent permitted by law, we are not liable for indirect or consequential loss (including lost profits or business interruption).
- Our total liability for any claim is limited to the amount paid for the affected services, unless otherwise required by law.
- Nothing in these terms limits rights that cannot be excluded under New Zealand law.
10. Cancellation and Suspension
- If you cancel after acceptance, we may charge for work performed, committed materials, and reasonable cancellation costs.
- We may suspend or cancel services for non-payment, safety concerns, or material breach.
- Where construction contract rules apply, statutory rights to suspend work for non-payment are reserved.
11. Privacy and Data Handling
- Personal information is handled in line with our Privacy Policy and applicable New Zealand privacy law.
- Website and form use may involve cookies and service providers needed for operations and support.
12. Governing Law
- These terms are governed by New Zealand law.
- Disputes are subject to New Zealand jurisdiction unless otherwise agreed.
